Terms of Service
Welcome. These terms govern your use of Neo Native Terminal, the financial information and analytics platform operated by Neo Native. The first time you sign in you are asked to confirm that you are at least 18 and to accept them — the Service can't be used without that. Please read carefully — especially the disclaimers, because Terminal is an information product, not investment advice.
01Acceptance of these terms
These Terms of Service (the "Terms"), including the refund rules in section 5 and our Disclosures, govern your use of Terminal (the "Service") — whether through a web browser, mobile app, API, or any other means. You accept them explicitly the first time you sign in, by confirming that you are at least 18 and ticking the box that accepts them, and again if we change them materially (section 15). If you do not agree, do not use the Service.
How we handle your personal data is explained in our Privacy Policy and our Cookies Policy. Those are information for you, not terms you sign; the optional analytics cookies they describe are a separate choice you can make or change at any time in Settings.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.
02What Terminal is
Terminal is an information and analytics platform for retail traders. It surfaces market data, market news, Congress and corporate-insider disclosures, daily briefings, portfolio and trade-journal tools, and a community sentiment layer where users can vote on market questions and discuss them in chat rooms.
We do not execute trades, hold customer funds, custody assets, or provide brokerage services. Any trade you place based on something you saw on Terminal happens through a third-party broker you choose, at your own risk and discretion.
03Eligibility
To use Terminal you must:
- Be at least 18 years old (or the age of legal majority where you live, if higher).
- Have the legal capacity to enter into a binding contract.
- Not be located in, or a resident of, a country or jurisdiction subject to a comprehensive embargo by the operator's jurisdiction, or otherwise prohibited from receiving the Service under applicable law.
- Not be listed on any government sanctions or restricted-parties list.
We may refuse service, close accounts, or remove or edit content at our sole discretion if we have a reasonable basis to believe these conditions are not met.
04Your account
Registration
You create an account by providing your first and last name, a display name, an email address and a password, and (optionally) by selecting your trading interests. The information you provide must be accurate and kept current.
Security
You are responsible for keeping your password confidential and for any activity that occurs under your account. Notify us promptly at security@neonativeterminal.com if you suspect unauthorized access. We are not liable for losses caused by failure to safeguard your credentials.
One human, one account
Each account is for a single, identifiable person. Sharing credentials, scraping account-only data, or maintaining multiple accounts to manipulate community features (sentiment polls, leaderboards) is a material breach of these Terms.
05Subscriptions & billing
Plans
Neo Native offers a free tier and paid plans (Starter and Pro). Plan features and prices are shown on the pricing page and may change. Current paying subscribers will be honored at their existing price until their next renewal, then transitioned to the updated price with at least 14 days' advance email notice.
Auto-renewal
Paid plans renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current price. You authorize us — and our payment processor, Stripe — to charge your payment method on file. You can cancel auto-renewal at any time from your account settings.
Refunds
Subscriptions are billed in advance. If you are a consumer you have a 14-day right of withdrawal, described below. On top of it, an annual plan stays refundable pro-rata for its first 30 days.
Your 14-day right of withdrawal
You can withdraw from a subscription within 14 days without giving a reason. The 14 days are counted from the day after the one on which you subscribe — the day the checkout completes, even when your first charge comes later because it carries over the rest of your free trial — and end at midnight, Italian time, at the end of the 14th day. If that day is a Saturday, a Sunday or an Italian public holiday, the period ends with the next working day instead. The right applies once per subscription: a renewal does not start a new 14-day period, but you can always turn off renewal, as described above.
Starting straight away. Before checkout we ask you to tick a box requesting that your subscription start immediately, inside the 14 days, and confirming that you understand what that means. If you then withdraw, you pay only for the paid service you received until we receive your withdrawal: we refund the amount you paid for the current billing period in proportion to the days not yet used (amount paid × unused days ÷ days in the period). A day counts as used only once 24 full hours of it have passed, so withdrawing in the first 24 hours of a paid period — or before it starts, while a trial carries on — refunds the whole payment. The result is rounded down to the cent. A subscription for which no such request is on record is refunded in full. Once the contract has been fully performed, the right of withdrawal no longer applies.
How to withdraw. For the whole 14 days, your Billing page (Account → Billing) shows a “Withdraw from contract here” button. It shows your name, the email address the confirmation goes to, your plan, the date your subscription started and the refund, and your withdrawal is sent when you press “Confirm withdrawal”. You can also send us any other clear statement of your decision, for example by email to billing@neonativeterminal.com. Either way, the withdrawal counts if you send it before the period ends.
What happens next. When you confirm on the Billing page, your paid features end at once and the subscription is cancelled, so nothing more is charged; the refund is issued at the same moment, to the payment method you used, and your bank decides when it appears on your statement. We email you an acknowledgement of receipt that repeats what you sent and the date and time we received it. A withdrawal sent by email is handled the same way when we process it, and its refund never comes later than 14 days after we receive it.
Annual plans: pro-rata refund in the first 30 days
An annual plan is refundable pro-rata in its first 30 days: email billing@neonativeterminal.com within that window and we cancel the subscription and refund the part of the annual charge that covers the time left in the year. Paid features end with that cancellation — at once, not at the end of the year the refund covers. (Turning off auto-renewal, above, is a different thing: it refunds nothing and the plan runs to the end of the period already paid.)
Otherwise — monthly charges after the 14-day withdrawal period, and an annual charge after its first 30 days — payments are non-refundable, except where required by law.
Taxes
Prices shown are exclusive of any applicable VAT, GST, sales tax, or similar government charge. Stripe collects these at checkout where required and remits to the relevant authority.
06Acceptable use
You agree NOT to:
- Use the Service for any unlawful purpose, including market manipulation, insider trading, or money laundering.
- Scrape, mirror, or systematically copy data from the Service except through a documented API and within published rate limits.
- Reverse-engineer, decompile, or attempt to derive the source of any part of the Service.
- Upload viruses, exploit vulnerabilities, or attempt to disrupt the Service's availability or security.
- Post content that is defamatory, harassing, hateful, infringing, or otherwise unlawful in our community chat rooms or public profiles.
- Misrepresent affiliations or impersonate any person.
- Use community-sentiment polls or leaderboards in coordination with other accounts to manipulate the apparent consensus ("vote brigading").
- Use the Service to compete with Neo Native's commercial interests — for example, by training a competing product on data extracted from the Service.
07User content
When you post in a chat room, vote on a sentiment poll, set a nickname, or otherwise contribute content to the Service ("User Content"), you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that content as necessary to operate the Service.
This license ends when you delete the content or your account, except: (i) we may retain anonymized, aggregated data derived from your votes for analytics and product improvement; (ii) we may keep copies for backup and legal-compliance purposes for a reasonable period; and (iii) content shared with other users may persist in their copies and conversations.
You represent that you have all rights necessary to grant this license and that your content does not infringe any third party's rights or violate applicable law.
Reporting content
If you believe something posted on Terminal is illegal or breaks these Terms, you can report it. Every chat message posted by someone else has a Report action: pick a reason, add details if you want to, and confirm that your report is accurate and made in good faith. You can also email security@neonativeterminal.com, saying where the content is and why you are reporting it.
A report made with the Report action reaches us by email, and you receive an emailed receipt with a reference number. We review reports. Content that breaks the law or these Terms may be removed, and the account that posted it may be restricted, suspended or closed (see section 13).
08Third-party data & services
The Service surfaces information from third-party sources, including (but not limited to) market-data providers, market news providers, economic calendars, and public disclosure filings. We do not guarantee that this information is accurate, complete, current, or uninterrupted. Quotes may be delayed. Earnings dates and macro calendar entries change.
Links to third-party websites or services are provided for convenience. We are not responsible for their content, privacy practices, or availability.
09Intellectual property
The Service — including the Neo Native name, the Neo Native logo, software, design system, generated briefings, and user-facing copy — is owned by Neo Native or its licensors and protected by copyright, trademark, and other intellectual-property laws.
Subject to these Terms, we grant you a personal, revocable, non-exclusive, non-transferable license to access and use the Service for your individual, non-commercial purposes. No other rights are granted.
10Disclaimers
Without limiting the foregoing:
- Not investment advice. Briefings, signals, screeners, disclosed-trade feeds, sentiment readouts, and any other content are for informational and educational purposes only. They are not personalized to your circumstances and do not constitute investment, legal, accounting, or tax advice.
- Past performance is not predictive. Historical figures on Terminal — price history, P&L curves, correlations, the performance of disclosed Congress trades — describe the past and say nothing reliable about what comes next.
- Community sentiment is not consensus. Poll results reflect what users on this platform chose to vote on, not what the broader market thinks. A 70% "bullish" reading on Terminal is data about Terminal users — nothing more.
- Trading involves risk. You can lose money, including more than you invested in leveraged products. Only trade with capital you can afford to lose.
11Limitation of liability
To the maximum extent permitted by law, neither Neo Native nor its officers, employees, contractors, or licensors will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, or trading losses — arising out of or related to the Service.
Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) USD 100.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply only to the maximum extent permitted by law.
12Indemnification
You agree to defend, indemnify, and hold harmless Neo Native from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your violation of these Terms; (b) your User Content; (c) your violation of any law or third-party right; or (d) your use of the Service in a way that gives rise to liability for Neo Native.
13Termination
You may terminate your account at any time from account settings or by emailing support@neonativeterminal.com.
We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have breached these Terms, created legal or security risk to the Service or other users, or if we are required to do so by law. Where practical we will tell you why.
Termination does not entitle you to a refund of fees already paid, except as described under Refunds in section 5 or as required by law. Sections that by their nature should survive termination (intellectual property, disclaimers, liability, indemnification, dispute resolution) will survive.
14Disputes & governing law
These Terms are governed by the laws of the jurisdiction in which Neo Native is incorporated, without regard to its conflict-of-laws rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute that cannot be resolved through good-faith negotiation, except that either party may seek injunctive or equitable relief in any competent court to protect intellectual property or confidential information.
If you are a consumer resident in the European Union or another jurisdiction that grants mandatory consumer rights, nothing in this section overrides those rights.
15Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you at least 14 days in advance by email (to the address on your account) and by a banner inside the Service. The "Last updated" date at the top of this page reflects the most recent revision.
After a material change takes effect, you are asked to accept the updated Terms the next time you sign in, the same way you accepted them the first time. If you don't agree, your remedy is to stop using the Service and close your account.
